Welcome to CashLeap Funding, Inc. (“CashLeap,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, applications, and services, including our brokerage of Merchant Cash Advances and related funding products (“Funding Products”). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you may not use our services.
1. Nature of Services
CashLeap is a brokerage company, not a direct lender or MCA provider. We do not originate, fund, or service Merchant Cash Advances ourselves. Instead, we connect businesses with third-party funding providers who may offer Merchant Cash Advances or related financial products.
A Merchant Cash Advance (“MCA”) is the purchase of a portion of a business’s future receivables at a discount. It is not a loan and is not subject to consumer lending or usury laws. Repayment is based on a percentage of future business sales, and the timing/amount of repayment may vary with business performance.
2. Eligibility
To use our services, you must:
Be at least 18 years old.
Be a business owner, officer, or authorized representative of the applying entity.
Provide accurate and complete information during the application and funding process.
Authorize us to verify your information, including through third-party providers.
3. Application and Underwriting
By submitting an application, you authorize CashLeap to:
Collect and review business and personal information, including bank statements, processing statements, tax information, and credit history.
Share information with independent underwriting partners, funding providers, investors, or service vendors as needed.
Conduct background, credit, and fraud checks as part of the matching and approval process.
Submitting an application does not guarantee funding. Final approval, terms, and funding are determined solely by the third-party provider.
4. Funding Agreements
If you are approved, your MCA or other funding product will be governed by a separate Funding Agreement between you and the third-party provider. That agreement will outline the specific terms, including:
Advance amount
Factor rate and fees
Repayment method and percentage of receivables
Representations, warranties, and obligations
Remedies in the event of breach or default
In the event of any conflict between these Terms and a Funding Agreement, the Funding Agreement with the third-party provider will control.
5. No Legal, Tax, or Financial Advice
CashLeap does not provide legal, tax, accounting, or financial advice. You are encouraged to consult with your own professional advisors before entering into any funding arrangement.
6. User Responsibilities
By using our services, you agree to:
Provide truthful and accurate information.
Use our services only for lawful business purposes.
Maintain compliance with all applicable laws and regulations.
Notify us promptly of any material changes in your business operations.
7. Intellectual Property
All content on our website, including text, graphics, logos, and software, is the property of CashLeap or its licensors. You may not copy, reproduce, or distribute our content without prior written permission.
8. Limitation of Liability
To the fullest extent permitted by law:
CashLeap shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services.
Our total liability for any claim related to these Terms or our services shall not exceed the amount of brokerage fees, if any, paid directly to us in connection with the relevant transaction.
9. Indemnification
You agree to indemnify, defend, and hold harmless CashLeap, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising out of your use of our services, violation of these Terms, or breach of your Funding Agreement with a third-party provider.
10. Dispute Resolution
Any disputes arising from these Terms or our services will be resolved through binding arbitration in New York, unless otherwise required by law. You waive the right to a jury trial or to participate in a class action.
11. Governing Law
These Terms shall be governed by the laws of the State of New York, without regard to conflict of law principles.
12. Changes to Terms
We may update these Terms from time to time. Updates will be posted on our website with an updated effective date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
